General terms and conditions

1. Use

1.1 These General Conditions apply to all activities carried out by Red Square Logistics ApS, after this referred to as “Boxtorussia”. The General Conditions regulate the cooperation with our customers regardless of whether the activities are carried out by “Boxtorussia” or one of our subcontractors.
1.2 All transports are carried out under the applicable rules in the General Conditions of the Nordic Freight Forwarders’ Association (NSAB 2015). The provisions limit our liability for loss of, deterioration of, or damage to goods to SDR 8.33 per kg and delays up to the amount of freight, maximum SDR 50,000 for each order. In the event of storage, the freight forwarder’s total liability for damage caused by the same incident is limited to SDR 500,000 (§27). Particular attention is drawn to the fact that claims against the freight forwarder are time-barred after 1 year (§30) and that the lien (§14) covers both current and previous claims. Claims for freight etc., must be met regardless of the terms of delivery of the trade agreement (§10).

2. Booking

A booking is considered received when Boxtorussia has received a properly completed XLS file with the required information as required by the applicable procedures. It is not Boxtorussia’s responsibility to check whether the XLS file has been received.

3. Scope of the transport service

3.1 Depending on the individual agreement with the customer, Boxtorussia organises and implements the pickup, sorting, and delivery of packages and goods to Russia.
3.2 Packages over 15 kg cannot be delivered and will be rejected. The sender will be invoiced any return costs to the sender.
3.3 Packages shall be delivered at the specified address and shall be deemed to have been delivered correctly once the recipient or another person at the address has signed off on receipt.
3.4 Boxtorussia has the right to deliver to any person at the recipient address.
3.5 If the recipient wishes to pick up the package in one of our package shops, the recipient will sign off on receipt upon pickup in the agreed package shop.
3.6 Boxtorussia may reject or return a package that is not adequately packaged and, therefore, not suitable for package distribution or which does not comply with the applicable Russian import rules. Any costs related to the return will be invoiced to the sender.

4. Distribution

4.1 The maximum size and weight of packages distributed by Boxtorussia:
• Maximum size 120 x 80 x 50 cm / length x width x height
• Maximum weight 15 kg
If a package exceeds the maximum weight/size, Boxtorussia may return the package to the sender at the sender’s expense.
4.2 Boxtorussia distributes only goods that can legally be imported into Russia. A list of unauthorised items can be found on our website. It is the sender’s responsibility always to make sure that the shipped goods are allowed to be imported into Russia.
Also, we do not distribute: Packages that violate applicable sanctions laws, for instance, due to content, intended recipient, or the country to send them from or to. Sanctions laws include all acts, regulations, and statutes that impose sanctions on countries, individuals, or entities (including trade restrictions and economic sanctions), including without restriction the sanctions imposed by the UN, EU, and the EU Member States.
Boxtorussia may refuse or discontinue distribution without notice on suspicion of the above.
4.3 It is the sender’s responsibility to ensure that the goods sent can be legally imported into Russia. Packages containing products that are forbidden to import may be confiscated and destroyed by customs in Russia. It is the responsibility of the recipient to provide the correct information for customs clearance in Russia. Customs will not release packages until customs clearance is carried out. If the recipient does not provide the necessary information, the customs authorities may choose to confiscate and destroy the package. Boxtorussia is not liable for covering the value of confiscated or destroyed packages and is not responsible for returning packages that may be released by customs but are not allowed to import into Russia.
4.4 The customer/sender is responsible for adequate and sound packaging and the correct labelling of the package. The customer should be aware that several packages that are strapped or taped together will not be replaced if they come apart. If this happens, Boxtorussia will only compensate the package that is labelled. Boxtorussia does not carry out packaging checks and does not replace damage to packages if Boxtorussia finds that the packaging was not sufficient and sound.
4.5 Only standard labels sent from Boxtorussia may be used. The labels must not bend around the package or be attached so that barcodes and text cannot be read/scanned.
4.6 Packages must be packaged to be processed in an automatic sorting system where it is not possible to take account of arrow labels, glass labels, handle with care labels, or the like. The packaging must be appropriate for the contents. All spaces must be filled with a suitable material to protect the contents. The sender shall ensure that there can be no displacement, pressure, or shock, either between the objects or between the contents and the outer packaging of the package.
4.7 Damage caused by vibrations on internal components that are not extraordinarily fixed during transport is not covered.
4.8 Glass-packaged goods and goods with liquid content must be sent in an outer packaging suitable for distribution. The internal packaging used must protect the goods from external influences and absorb and prevent leakage from the goods. The sender shall ensure that there can be no displacement, pressure, or shock, either between the objects or between the contents and the outer packaging of the package.
4.9 In the event of damage to goods at risk of harming personnel, equipment, or other packages, Boxtorussia reserves the right to destroy the contents without compensation.
4.10 The Customer is obliged to compensate any direct or indirect loss incurred by Boxtorussia.
4.11 Boxtorussia is not obliged to check whether the package contains goods that are not allowed to be shipped or whether the packaging is sufficient.

5. Payment

5.1 Distribution is carried out according to applicable price lists and conditions. The price list can be obtained from Box to Russia at any time.
5.2 Credit is conditional on the customer being credit approved by our external partners. In the event of a negative development in the customer’s finances, the customer’s credit status may change.
5.3 For credit-approved customers, the terms of payment are current month +7 days. In case of late payment, a 2% interest per commenced month shall be added.
5.4 For companies that cannot be credit approved, the terms of payment are net cash. The customer’s packages will not be shipped from our warehouse until we have received payment.
5.5 Payment of bills is carried out by bank transfer or online via our website.
5.6 The customer may not set off against invoices from Boxtorussia.

6. Retention and lien

6.1 Boxtorussia has a possessory lien on goods for all unpaid costs not paid by the customer or recipient.
6.2 If these costs are not paid, Boxtorussia can sell goods safely to cover the unpaid costs. Box to Russia shall, as far as possible, notify the customer in due time of these planned actions.

7. Complaints

7.1 Notification of damage/deficiencies must be made in writing to support@boxtorussia.eu
7.2 The following time limits apply to complaints:
7.2.1 In case of damage to or deficient content, the customer or recipient must notify Boxtorussia within 5 business days of delivery; otherwise, all claims will be forfeited.
7.2.2 In case of missing or delayed delivery, the customer or recipient must notify Boxtorussia within 6 months of the date of shipment from our warehouse in Germany. Boxtorussia may search for a package for up to 10 business days from the day of the missing package notification.
7.3 Boxtorussia must receive photos of damaged packages and packaging. Otherwise, Boxtorussia may require the recipient to prepare the damaged package for pickup at the delivery address in the original packaging. If this is not possible, the right to compensation will be forfeited.
7.4 If a damaged package is moved from the recipient’s address before it has been possible for Boxtorussia to inspect the package, the right to compensation is forfeited.

8. Undeliverable goods

8.1 Undeliverable goods and parcels and goods and parcels confiscated by customs will be destroyed after 30 days.

9. Limitation of actions

9.1 In the event of damage to or deficiencies in packages, proceedings must be brought against Boxtorussia within 1 year of the date of delivery.
9.2 In other cases (loss, delay, etc.), proceedings must be brought against Boxtorussia within 1 year from the day on which the loss could be established at the earliest.

10. Limitation of liability

10.1 Boxtorussia is responsible for the package from Boxtorussia or one of our partners’ receipt of the package (against receipt or scan) until the package is delivered or until Boxtorussia legitimately interrupts the distribution.
10.2 Boxtorussia’s liability is regulated under NSAB2015 which, among other things, limits our liability for loss of, deterioration of, or damage to goods to SDR 8.33 per kg and for delays up to the freight amount, a maximum of SDR 50,000 for each order.
10.2.1 New items are valued at the documented cost price excl. VAT.
10.2.2 Used items are valued at the current trade value, or the documented cost price and the lowest value shall apply.
10.2.3 Boxtorussia cannot be held liable for delays beyond our control, such as rule changes or state intervention. If a loss in connection with loss, damage, or delay is due to actions or omissions on the part of the customer or recipient, Boxtorussia is under no circumstances liable for damages.
10.2.4 Boxtorussia is not liable for damage to temperature-sensitive goods (damaged, perished or deteriorated in quality due to temperature fluctuations), perishable goods, live or dead animals and urns.
10.2.5 Boxtorussia does not replace outer packaging.
10.2.6 Boxtorussia is not liable for indirect losses, operating losses, lost profits or other losses. Boxtorussia is not liable for losses due to circumstances that can be characterised as force majeure, work stoppage, strike, war, terrorist acts, natural disasters, cyberattacks, etc.
10.2.7 Payment of compensation for total/partial loss may be subject to the condition that the recipient signs a solemn declaration that the package in question has not been received.

11. Personal data

11.1 It is the customer’s responsibility to ensure the required personal data are correct and legally transferable to Boxtorussia.
11.2 All personal data received by Boxtorussia are covered by our data protection policy.

12. Venue

12.1 All disputes concerning the cooperation agreement and these General Conditions must be settled in accordance with Danish law.
12.2 The Court of Herning must be the court of the first instance to hear and determine all disputes relating to the cooperation agreement and these General Conditions.
